Terms and Conditions of Engagement

Acceptance of Terms
By engaging Pinnacle Accounting & Advisory Pty Ltd (“Pinnacle”, “we”, “us” or “our”), you (“Client”, “you”) agree to be bound by these Terms and Conditions, together with any engagement letter or written agreement issued to you.
These Terms apply to all professional services provided by Pinnacle unless otherwise agreed in writing.
Scope of Services
We will provide accounting, taxation, advisory and related professional services as agreed in writing.
Our services are limited to the scope outlined in your engagement letter or written instructions. Any additional services requested may be subject to a separate agreement and additional fees.
We rely on the accuracy and completeness of the information you provide. We are not responsible for errors arising from incomplete, inaccurate or misleading information supplied to us.
Client Responsibilities
You agree to:
- Provide complete, accurate and timely information relevant to the services;
- Respond promptly to our requests for information or clarification;
- Review documents and advice provided to you and notify us of any discrepancies;
- Ensure compliance with your legal and regulatory obligations.
You remain responsible for the management and decision-making of your business affairs.
Fees and Payment
Our fees will be outlined in your engagement letter or otherwise agreed in writing.
Unless otherwise agreed:
- Fees are exclusive of GST (where applicable);
- Invoices are payable within the timeframe specified on the invoice;
- We reserve the right to charge interest on overdue amounts;
- We may suspend services if invoices remain unpaid.
You are responsible for any third-party costs incurred in connection with your engagement (e.g. ASIC fees, government charges).
Confidentiality
We will maintain the confidentiality of your information in accordance with professional obligations and our Privacy Policy.
We may disclose information:
- Where required or authorised by law;
- To regulators such as the ATO or ASIC where necessary;
- To third-party service providers or overseas personnel engaged in accordance with our Privacy Policy.
You agree to keep confidential any proprietary information or advice provided by us.
Privacy and Data Protection
We collect, use and disclose personal information in accordance with our Privacy Policy.
By engaging us, you consent to the handling of your personal information as described in that policy, including disclosure to authorised third parties and, where necessary, overseas recipients under secure and controlled arrangements.
Limitation of Liability
To the maximum extent permitted by law:
- Our liability is limited to the amount of fees paid for the relevant services;
- We are not liable for indirect, consequential or special loss or damage;
- We are not responsible for losses arising from third-party actions, changes in legislation, or reliance on advice beyond its intended purpose.
Where legislation implies guarantees that cannot be excluded, our liability is limited to resupply of the services or the cost of resupply.
Professional Standards
We provide services in accordance with applicable Australian laws and professional standards, including requirements of relevant accounting and taxation bodies.
Advice provided is based on the laws in force at the time it is given. We are not responsible for subsequent legislative or regulatory changes unless specifically engaged to provide ongoing advice.
Electronic Communication
You acknowledge that electronic communication (including email and cloud-based platforms) carries inherent risks. While we take reasonable steps to secure communications, we cannot guarantee absolute security.
Intellectual Property
All working papers, templates, systems, methodologies and materials developed by us remain our property.
You are granted a non-exclusive licence to use advice and documents provided by us solely for their intended purpose.
Termination
Either party may terminate the engagement by providing written notice.
Upon termination:
- Outstanding fees become immediately payable;
- We may retain documents until payment is received;
- We will provide reasonable assistance in transferring matters if required.
Governing Law
These Terms and Conditions are governed by the laws of the Commonwealth of Australia and the State or Territory in which Pinnacle operates.
